1. Overview

These Terms of Service (“Terms”) govern your access to and use of services provided by Gro Consultants, LLC (“Gro.Inc”, “we”, “our”, or “Company”), including our website, CRM platform, marketing tools, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms.

2. Services Provided

Gro.Inc provides access to:

CRM software and business management tools

Marketing automation systems

Communication tools (SMS, email, phone)

AI-powered features and workflows

Funnels, websites, and reporting tools

All services are provided on a subscription basis unless otherwise stated.

3. User Responsibilities

You agree that you are solely responsible for:

All data entered into the Platform

All communications sent through the Platform

Compliance with all applicable laws and regulations, including but not limited to TCPA, CAN-SPAM, and data privacy laws

Obtaining proper consent from all contacts prior to communication

Gro.Inc does not control or monitor user communications and is not responsible for misuse of the Platform.

4. Usage-Based Fees and Monthly Credit

Certain features within the Platform incur usage-based charges. These charges are billed based on actual usage and may include, but are not limited to:

SMS (text messaging)

Phone calls (inbound and outbound)

AI-powered features and automation

Email sending (if applicable)

Monthly Credit

Each account includes a $29 monthly usage credit, which is automatically applied toward eligible usage-based charges.

This credit resets each billing cycle

Unused credits do not roll over

The credit applies only to usage-based services and has no cash value

Standard Usage Rates

The following rates apply to usage-based services:

SMS Messaging (Outbound): $0.015 – $0.03 per segment (carrier-dependent)

Phone Calls (Outbound): $0.02 – $0.05 per minute

Phone Calls (Inbound): $0.01 – $0.03 per minute

AI Features: Starting at approximately $0.01 – $0.05 per interaction (varies by usage type)

Email Sending: Usage-based, typically fractions of a cent per email

Rates may vary based on carrier fees, destination, volume, and third-party provider pricing.

Billing and Responsibility

All usage-based charges beyond the included $29 monthly credit are the responsibility of the user

Charges are billed automatically to the payment method on file

Users are responsible for monitoring their usage

Gro.Inc does not guarantee that usage will remain within the monthly credit

Rate Changes

Usage rates are subject to change at any time due to adjustments in third-party provider pricing, carrier fees, or regulatory changes.

Continued use of the Platform constitutes acceptance of any updated rates.

No Guarantee of Usage Limits

While many users may remain within the included monthly credit, actual usage varies based on activity, automation, and communication volume.

Gro.Inc is not responsible for overages resulting from user activity, automation workflows, or campaign performance.

5. Billing, Payments, and Cancellation

All subscriptions are billed monthly unless otherwise stated

Payments are due on the billing date associated with your account

Failure to pay may result in suspension or termination of access

Accounts that remain unpaid may be subject to data deletion after a reasonable period

You may cancel your subscription at any time; however, no refunds are provided for partial billing periods unless otherwise stated in writing.

6. Communication Services and Compliance

The Platform enables communication through SMS, email, and automated messaging systems.

By using these features, you agree:

You have obtained proper consent from all recipients

You will comply with all applicable laws, including TCPA and CAN-SPAM

You are solely responsible for all communications sent

Gro.Inc is not responsible for unlawful or unauthorized messaging practices.

7. Communication Delivery Disclaimer

Gro.Inc does not guarantee:

Message delivery

Delivery timing

Carrier acceptance

Delivery depends on third-party carriers and providers.

8. Third-Party Services

The Platform relies on third-party providers for functionality, including:

CRM infrastructure

SMS and phone carriers

Email delivery systems

Hosting and automation services

Gro.Inc is not responsible for outages, delays, data loss, or failures caused by third-party providers.

9. Artificial Intelligence Features

The Platform may include AI-powered tools and automation.

You acknowledge:

AI-generated content may not always be accurate

You are responsible for reviewing automated outputs

AI tools are provided as assistance and not guaranteed decision-making systems

10. No Guarantee of Results

Gro.Inc does not guarantee any specific results, including leads, conversions, sales, or revenue.

11. Account Suspension and Termination

Gro.Inc reserves the right to suspend or terminate accounts at any time for:

Non-payment

Abuse or misuse of the Platform

Spam or illegal activity

12. Intellectual Property

All software, systems, processes, and materials provided by Gro.Inc remain the property of Gro.Inc.

Users are granted a limited, non-transferable license to use the Platform.

13. Limitation of Liability

To the maximum extent permitted by law, Gro.Inc shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

14. Indemnification

You agree to indemnify and hold harmless Gro.Inc from any claims, damages, or liabilities arising from:

Your use of the Platform

Your communications

Your data collection or marketing practices

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida.

16. Updates to Terms

Gro.Inc may update these Terms at any time. Continued use of the Platform constitutes acceptance of any updated Terms.
